Please read the YourFonts Affiliate Agreement YourFonts Affiliate Agreement Date of Last Revision: April 21, 2009 The terms and conditions set forth herein constitute the full and complete agreement between you ("Affiliate" and "YOU") and High-Logic B.V. (doing business as and hereinafter referred to as "YourFonts") and with respect to your participation in the YourFonts Affiliate Program ("Program"). The terms contained herein supersede and replace any other agreement or negotiation between Affiliate and YourFonts whether oral, written, or otherwise including any statements made at any time. This agreement is effective and binding upon your acceptance of this agreement as indicated by your checking the "I agree" checkbox. You further agree that your continued use of this service constitutes your immediate acceptance of any changes, alterations, updates and/or amendments to this agreement. We last modified this agreement on the date set forth at the top of this agreement. 1. Reseller Eligibility To be eligible for our Program, you must be either a person or a corporation, partnership, limited liability company or other formal legal entity existing under the laws of your local jurisdiction and enter into this agreement in that capacity. If you are an individual, you must be over the age of 18 by the date that you agree to the terms stated herein. 2. Affiliate Rights and Obligations Affiliates agree not to use spam or similar methods which are illegal or fraudulent to gather Affiliate Program commissions through the YourFonts affiliate program. 3. YourFonts Rights and Obligations 3.1 Upon acceptance as a YourFonts Affiliate and subject to the terms set forth herein YourFonts will provide you with an affiliate account. Once you have an affiliate account you can define landing pages that you can add to your website. 3.2 Limited customer service will be offered to you for the administration of your affiliate account only. 4. Compensation YourFonts Affiliates can earn commissions upto 60% of the total sales originating from authorized affiliate links. Payments will be made once a minimum earnings of 10 US Dollars or greater is achieved. Payments will be made to a PayPal account. 5. Account Details and Tracking To become an Affiliate you must enroll in the Affiliate Program by opening an Affiliate account. Once the affiliate registration process is complete, the username and password provided by you at the time of sign up may be used for various purposes including access to detailed tracking and statistics, for the acquisition of valid affiliate tracking links and for banners. 6. Due Diligence To ensure authenticity, YourFonts holds the right to verify the commissions generated by the affiliate. YourFonts reserves the right to cancel the commissions for bogus or false commissions. 7. Disclaimers YourFonts does not express or imply any warranties or representations in respect of the Affiliate Program (including, without limitation, warranties of fitness, merchantability, noninfringement, or any implied warranties arising out of a course of performance, dealing, or trade usage). Furthermore, we make no claims that our site will be uninterrupted or error-free and we will not be responsible for any consequences arising out of interruptions or down time. 8. Indemnification You hereby agree to insure, defend and hold harmless YourFonts, its shareholders, officers, directors, employees, agents, corporate affiliates, successors and assigns, from and against any and all claims, losses, liabilities, damages or expenses including reasonable attorneys' fees and costs, of any nature whatsoever incurred or suffered by us (collectively the "Losses"), in so far as such Losses (or actions in respect thereof) caused due to or are based on (i) any claim or threatened claim that our use of your name, titles, logos or trademarks infringes on the rights of any third party; (ii) the breach of any representation or warranty made by you herein; or (iii) or any claim related to the development, operation, maintenance or content of Your site. This section survives termination of this Agreement. 9. Termination This Affiliate Program account may be terminated by either party at any time. 10. No Agency Notwithstanding any other provision of this agreement, this agreement does not create any agency, employment, partnership, joint venture, franchise, or other special relationship between the parties. Neither party will have the right or authority to assume or create any obligations or to make any representations, warranties or commitments on behalf of the other party or its affiliates, whether express or implied, or to bind the other party or its affiliates in any respect whatsoever.
